Challenge in the boardroom: Director–manager question‐and‐answer interactions at board meetings

Research question/issue Corporate governance codes of practice require non-executive directors (NEDs) to challenge and question managers. Prior literature best guidance remain silent on the precise meaning of, how might execute, “challenge”, management respond. We explore ways in which NEDs challenge, question, dissent during board meetings, managers observe, audio-record, video-record three boards nine meetings. Our are unique holding part their meetings public private. findings/insights dataset comprises 418 questions 510 answers. develop a typology NEDs' challenge/questions comprising six categories/48 subcategories managers' responses/answers eight categories/69 subcategories. findings support assertion that may be reluctant offer moderate (i.e., constructive) public. find significant differences between level types answers offered versus an association type asked answer provided. Who asks varies significantly private, as do by each board. Theoretical/academic implications empirical suggest behavior presence audience stakeholders.
